ATS Automation Systems acquires remaining interest in
advanced test systems business

CAMBRIDGE, ON, Oct. 30 /CNW/ - ATS Automation Tooling Systems Inc. today
announced it has acquired the remaining outstanding equity ownership of ATS
Test Systems Inc. ("ATS Test").
ATS originally purchased 51% of this Woodbridge, Ontario enterprise
(formerly Commissioned Systems and Engineering Ltd.) in a cash and share
transaction in July 1996. ATS has now acquired the remaining 49% equity
interest in this leading test systems business for a combination of cash and
the issuance of ATS common shares from treasury. The common shares issued by
ATS in connection with this latest purchase represent approximately 1/10th of
1% of ATS's outstanding shares and the aggregate consideration is less than
$4 million.
"Over the past six years, ATS Test has proven its worth to our customers
and shareholders," said Klaus Woerner, ATS President and Chief Executive
Officer. "This is reflected in the fact that its revenue has quadrupled to
$6 million in our last fiscal year and operating profits have also increased
correspondingly. Despite the downturn in customer capital spending over the
past 18 months, ATS Test performed well and is on track for another strong
